hundred and fifty dollars then the said corporation shall be entitled to realize from tho said manufacturer as liquid ated damages for such default at the rato of ten dollars for each twenty- live dollars short of the said weekly average of three hundred dollars any and all disputes arising under this clause shull ho settled by a board of throe arbitrators ono of whom shall bo selected by the saill corporation another by tlit said manufacturer and tho third chosen by the other two seventhly that ho will expend approximately tho sum of ton thousand dollars of his own money in addition to tho ton thousand dollars hereby agreed to be loaned to him by tho suid corporation and tho six thousand dollars realised by him from the insura noe on the old fuctory whioli last mon tloned amount the said manufacturer is bound to ex pend in tho rebuilding of the now fac tory to purchaso machiu mry plant and equipment necessary to properly oper ate and carry on the satd business eighthly that lie will also pr vldo an addi tional flvo thousand dol lars of his own monoy to be used sole ly and entirely by tho said manufabtu ror to purchase or make additional n luehlfw to be used by him in tho s aid factory and for working capital c tie used in the said business ninthly that he will pojioy upon nig cludod in and form part of the said mortgage until the same is discharged as hereinafter provided and shall be satisfactory in all respects to the soli citor for the corporation twelfthly that in default being mado during tho currency of tho said martgage in nry of tho conditions terms coven ants and agreements and provisoes sot out to bo observed and performed by the said manufacturer undor this ngrooment then in such case tho said corporation shall have too right to recover ns liquidated damages the hevoral sums sot out in- this agreement in roforence to such dofault and for such purposo may excrolao all their rights and romodies as mortgagees under tho said mortgago until the discharge of tho said mortgage in as full and ample a manner to recover tho samo as if default had boon mado in tho payment of tho sum secured by the said mortgage and this clause may bo pleaded as an estoppel to any defence preventing tho said corpor ation from proceeding to realize the said sums under said mortgago during such time thlrteenthly that any joint stock company which may be incorporated und which may take over the said manufacturers business and fuctory and any firm or persons succeeding the said manufac turer in snld business shall bo entitled to the samo privileges and conditions as the said manufacturer is entitled to undor this agreement and shall aoqulro tho same subject to tho same terms and conditions us are in this agreement contained but the sold manufacturer hereby covenants and agrees that ho will not assign sell or transfer his suld business to any com pany firm or persons during tho said torm of twelve yoars without obtain ing for the said corporation the cov enant of such new company arm or porsons for tho duo carrying out of this agreement in addition to tho con tinuing liability of tho said manufac turer himself fourteonthjy thut if ho tho suld manufacturer while this agreement is in force ac cepts any inducements to cense carry ing on businoss in his said factory in the suld vi huge of georgetown or through any cause whatever they shall cease carrying tho said business dur ing the currency of this agreement he will pay to tho said corporation the sum of two thousand dollars by way of compensation to the said corpor ation for loss costs and damages oc casioned thoreby and the said sum of two thousund dollars shall be recover able by tho said corporation from the said manufacturer us liquidated dam ages and not us u penalty and this vhull bo in addition to und irrespective of any othor right liability or remedy which tho sajd corporation may liave against tho said manufacturer for the broach of any of tho tonne covenants and agreements contained in this agreement tho suld corporation agrees firstly that it will make tho said loan to the said manufacturer upon tho terms and conditions horeln mentioned heoondly that it will submit to tho duly qualified ratepayers of the said village of georgetown for tho purpose of ob taining their consent a bylaw to rati fy this agreement and to authorise the said corporation to raise the sum of ton thousand dollars and to issue de bentures th oro for far- tho purposos aforesaid and if so approved to anally pass the said bylaw thirdly that it will pay tho sold manufac turer the
