(CFFG) of Kitchener, formerly Ross Dixon Inc., has signed a letter of intent relating to the acquisition of Hewmac Financial Group Limited. The acquisition will be funded through a combination of shares and cash and is subject to a number of closing condi­ tions, including completion of due diligence, finalizing acquisition documentation and receipt of all required regula­ tory approvals. The acquisition will increase total assets under adminis­ tration of CFFG to over $2.5 billion. Including the Oakville office, there will now be 60 offices to broaden CFFG's pres­ ence in central and southwestern Ontario. CFFG is a public management and holding company with integrated business interests in the financial services sector. Its principal subsidiaries are Ross Dixon Financial Services Limited and Burgeonvest Securities Limited. CFFG has 7,610,245 common shares issued and outstanding. The Arrangement was approved by over 99% of Kelsey's shareholders who delivered proxies (both including and excluding votes attaching to shares beneficially owned or con­ trolled by Paul Jeffery and Nils Kravis, chairman and chief execu­ tive officer, and president o f Kelsey's respectively. Pursuant to the A rrangem ent, Cara will acquire all o f the out­ standing Kelsey's common shares, other than those beneficially owned or controlled by M essrs. Jeffery and Kravis, in consideration for Cdn. $3 cash per share. If the Arrangem ent is com pleted, Cara has agreed to invest a further Cdn. $ 10-million in equity financing to support Kelsey's expansion plans.
