New York, Nov. 28.--Forced to give up the rich booty in sight through the conversion of $30,000,000 of pre- ferred steel stock into 5 per cent, sec- ond mortgage bonds, J. Pierpont Mor- gan is now threatened with a series of suits intended to force him to dis- gorge the millions in profits already taken, and to reveal all the intricate methods of high finance involved in the organization of the United States Steel Corporation. The stockholders in the Steel Trust are determined to force by legal ac- tion shortly an explanation of the methods of the first Morgan syn- dicate, which was formed to promote the company, and of the second, form- ed to convert the stocks into bonds. The profits made by the first syndi- cate amounted to. about $56,000,000. The syndicate agreed to furnish to the Steel Corporation $200,000,000, but was called on for only $25,000,000, so that more than 200 per cent, was made in profits by the syndicate, The second syndicate made nearly $25. 000,000, advantaging the corporation nothing. It was learned yesterday in Wall street that Andrew Carnegie is now allied with John D. Rockefeller in the work of taking the United States Steel Corporation from the hands of J. Pierpont Morgan. This combination means the retire ment of Mr. Morgan eventually from all shadow of control. It is the result, moreover, of a scr- ies of mistakes generally attributed to George W. Perkins, who is being held responsible for all the errors that have been made by the manipulators of steel stocks for private gain. Mr. Morgan was also the yesterday for many unpleasant flings by the members of the bond conver: sion syndicate, who contend that they were taken entirely by surprise by the abrogation of the bond conversion contract, and were therefore unable to profit as largely by that contract as they should have done. According to these disgruntled mem- bers of the syndicate, there was no reason why they should not have shared in the profits to have been ex- pected from the conversion of the re- maining shares of preferred stock in to 5 per cent. bonds. They regard the action of Mr. Morgan as taken to save himself and his own reputation, The entrance of Andrew Carnegie has altered the entire aspect of Steel in Wall street. target negie on his return from abroad re cently were not intended to be looked upon by Mr. Morgan as pleasant read- ing. There was a covert blow at Mr. Morgan in every utterance made by the old ironmaster. His is a method of deeds, not words, however, and he is now in a position to do more than talk. He has also recovered the pow- er which for a time appeared to have passed out of his hands. Mr. Morgan, after gathering com- plete control of the situation was in a position to defy Mr. Carnegie and to take what action he wished with re- gard to Charles M, Schwab. That ac- tion was to force Mr. Schwab out of the presidency of the Steel Trust. Mr. Carnegie has never forgiven Mr, Morgan for this. The opportunity to join forces with Mr. Rockefeller and tear from the grasp of Mr. Morgan every vestige of control and influence in the Steel Corporation was not to be lightly neglected.
