The Naderites ran out of gas with their "Consumer Protection Agency" legislation after several years of trying to get it passed, so they had to find another horse to beat. Now it's America's businesses, specifically corporations. Naderite Mark Green has teamed up with Ohio Sen. Howard Metzenbaum to dream up a bill which would drastically change the way corporations are governed; that is, the way their boards of directors are composed. The bill, if passed, would almost certainly make the decision­ making process in American business and industry slower, less efficient and more costly. The Green-Metzenbaum theory seems to be that people who know nothing about, say, the widget business will be a MCHENRY OUTDOOR 344-0444 whole lot smarter, fairer and more level-headed making decisions than will the professionals who now populate the majorities of most boards. It all started, according to sources close to Metzenbaum, in February, 1978, when the good senator, acting on "his concern about abuses of management and lack of shareholder control" in cor­ porations, formed an advisory committee on corporate governance. Green seems to have been the chief inspiration behind the idea, and he joined the committee. But, Met­ zenbaum pulled together a diverse group, even including American Tel & Tel Chairman - John DeButts. The Met­ zenbaum idea was, presumably, to bring the professional consumerists, labor representatives and business people together to Come up with a consensus that could be converted into a bill. But, it didn't work that way. Metzenbaum met with the committee on April 26 to learn that it had failed to reach agreement. No matter. The Metzenbaum source told one of my associates the day before the meeting that Metzenbaum would go ahead with the bill regardless. "The senator is VERY serious about this issue," the source said. "There will be a bill and it will be in­ troduced before the May 25 congressional recess." Ex­ pected to be among its provisions are the following: it will affect the nation's 1,000 largest businesses; it will require that a majority of board members be "in­ dependent" (that is, not em­ ployed by the company, despite the fact that most corporations now have several of their own top executives on their board- s); no former employee would be allowed on a corporation's board; lawyers retained by the company won't be allowed on the board. The Metzenbaum source indicated that the senator would set the effective date of his measures three years beyond the date of passage of the bill "as an incentive for businesses and states to catch the spirit of all this before it is mandatory; to give them a chance to exercise social responsibility.'
