The case has, moreover, an especial interest for the very large number of people who have jutrasted their money to corporations to be invested on real estate security, as Western mortgages are so often negotiated in the Eastern States. That was the nature of the trausaction between the plaintiff and the Colonial Trusts Corporation, and for several years he vogularly received his interest on a mortgage of property in South Africa. Finally, the company failed, and in the course of the liquidation it appeared that ¢1e mortgage sccuring the plaintif's loan bad been paid off a year before that event, but that the company, instead of paying over the money, or reinvesting it upon securities of & similar character, had applied it to the general uses of the businegss, con- tinuing the payment of interest nevertheless as though the money were secured as for- merly. The plaintiff sued the three Direct- ors of thecompany who were present at the warions board meetings in which the man- agement of his money came under consider ation. After consultation with his associates the Lord Chief-Justice direct- ed the jury to find a verdict for the defendants, for reasons best given in his own words. «The company," said Sir Alexander Cockburn, «entered into an un- dertaking to invest Mr, Wilson's money, and they have broken that undertaking. The The plaintiffs remedy is against the comp- any, and thecompany alone, The Direct ors aro not responsible, apart from fraud except to the company, and frand is not charged. All that is charged is negligence and breach of duty. The duty however, of the Directors was to the companyand not to Mr. Wilson. The case involves so important a principle, and so many other suits are dependent upon it, that it is intimated the question will be still further contested, and the point cannot be considered as finally settled. It is appar- ent, however, that only swindlers or irre- sponsible persons can afford to act as Direct- ors, if they are to be held personally respon- gible for the compuny's defaults.
