A By-law to authorize a loan of $30,000 and other concessions to The Canadian Weber Gas Engine Company, Limited. In this By-law the word "Company" shall mean the Canadian Weber Gas Limited, the word Engine Company, we the Municipal "Council" shall mean Engine Company Limited propose to manufacture and sell the Weber Power Engines as manufactured by the \Veber Gas Engine Company of Kansas City Missouri. . AND WHEREAS The Weber Gas Eugme Company of Kansas City has agreed to furnish 1he said Company all their necessary patterns and patents pertaining to the said Engines, together with the right to use in Canada the name Weber :n consideration of receiv- ing certain : hues in the'stock of the said company, AN DCH E£REAS the said Village of Port Perry is desirous of aiding the said Company by grantiug them a site of ap- proximate iy six acres of land, the esti- mated cost of which will be $600, and by granting to the aforesaid Company free water and gravel, sand stone, and ex- emption from taxes as far as permitted by the Municipal Act and also to grant to the said Company a loan of debentures having a face value of $30,000 bearing interest at five per cent; . AND WHEREAS the said Company have agreed inconsiderationof the passing of this By-Law to use all due speed an reasonable effort to erect a factory and keep it running full time and at its full capacity and to do certain other acts as more particularly hereinafter set out. _ AND WHEREAS in order to aid the said Company it will be necessary to is- sue debentures of the Village of Port Perry for the sum of $30,000 which is the amount of the debt intended tobe created bythis By-Law; . . AND WHEREAS it is desirable to issue the said debentures at one timeand to make the principal of the said debt repayable in twenty equal sums during the period of twenty years being the currency of the said debentures, together with interest on the whole amount of said indebtedness from year to year respectively owing and unpaid; AND WHEREAS the total amount required to be raised annually by special rate is the sum of $1,500.co and interest on the unpaid principal as set out in Schedule A hereto; AND WHEREAS the amount of the whole rateable property of the said Vil- lage of Port erry according to the last revised assessmert ro!l is $469,824. Ross & Sons Municipal Council of the Corporation of the Village of Port Perry to grant a loan by issuing debentures to the extent of $30,000 with interest thereon at 5% per annum and by granting a free site, free water and free gravel, sand and stone, and exemption from taxes as far as per- mitted by the Municipal Act to the said Company, -- provided the said Corpora- tion shall apply to the proper authorities in that behalf to approve or confirm this By-Law, the Corporation not being liable for any damage for any failure therein, and for the purpose of purchasing the site for the said Company the said Coun- cil shall levy during the current year the amount of the price of the said site. And for the purpose of making the loan of $30,000; debentures of the Corporation of the Village of Port Perry to the amount of $30,000 aforesaid in sums of not less than $100 each chall be issued after the final passing of this By-Law, each of which debentures shall be dated on the date of the final passing of this By-Law and shall be payable within 20 years at the Western Bank of Canada at Port Perry as hereinafter set forth in Sched- ule A. 3 Each of the said debentures shall be signed by the Reeve and Treasurer of the Corporation of the Village of Port Perry and the Clerk shall attach thereto their Corporation Seal. 4 _ The said debentures shall bear in- terest at the rate of five per cent per {annum [payable yearly at the said Bank {on the ates and times mentioned therein for payment in each and every year during the currency thereof and shall be issued in sums of ¢100. each, fifieen of which shall fall due and become payable in each and every year. 5 During the currency of the said de- bentures there shall be raised by a special rate on all the rateable property of the said Village of Port Perry the sum of $1500. and interest on unpaid principal of the amount of said debentures for the purpose of paying the amount due in each of the said years in respect of the said debt accordiug to Schedule A. hereto annexed. 6 The said debentures shall be hand- ed over to the said Company at the expiration of one month after the Com- pany has complied with the terms and conditions hereinafter mentioned and furnished proof satisfactory to the said 'Municipal Council that such terms and conditions have been and are being com- lied with; and uwon and only upon such | terms and conditions, namely, That the said Company shall have od capital Ss and above any amounts paid for terns. be | the Corporation or Company to the Corporation from year to year during the currency of the said debentures of the respective amounts which shall annually mature on said debentures. d The said payments by the said Company under the said Mortgage or Mortgages to fall due and be payable annually on the 15th day of July, the first payment becoming due and payable on the 15th day of July, 1909.
