Rubber Btaaipa tit The Plaindealer Many Corporations Procure Charters in Delaware. One often is asked why so many corporations whose principal bus ness is in other states get their corporate charters from the state of Delaware. The answer, as might be expected, is that the laws of Delaware providing for incorporation are among the most flexible pf any state in the country. Comparatively speaking, states an expert in the Chicago Tribune, the organization tax, filing fees and annual tax are moderate. Delaware corporations may*, hold annual stockholders' meetings anywhere, whereas the laws of some states provide that it must be within the state of incorporation. Further, Delaware laws place no restrictions on the place of residence of members of the board,of directors. Broad powers are granted as to the scope of business in which a company may engage. There is no limit to the amount of indebtedness, and no maximum or minimum stock which' may be issued. As in all other states, laws Of Delaware provide that an office of the corporation be maintained within' the- state,. • Many companies, of "course, incorporate in other states. Other things being equal, firms usually choose to incorporate in the state where their principal business is carried on., Thus, many companies are incorporated in Illinois and New York and other states, where the laws of incorporation are relatively flexible. Why Name "Copperhead** Was Used in 1862-1863 The American political epithet, "copperhead," was applied by Union men during the Civil war to those men in the North who, deeming it impossible to conquer the Confederacy, were earnestly in favor of peace, and therefore opposed to the war policy of the President and of congress. The term originated in the autumn of 1862, and its use quickly spread throughout the North. In the western states early in 1863 the terms copperhead and Democrat had become practically synonymous. The name was adopted becausfe of the fancied resemblance of the peace party to the venomous copperhead snake which strikes without warning. Though applied as a term of apprpbrium, it was willingly assumed by those upon whom it was bestowed, and> some of the advocates of the peace policy, to emphasize it, wore badges of heads cut from copper 1-cent pieces. Well, in these days there isn't such an article as a penknife. They haven't been used since the days when pen-holders and nibs took the place of quiH-pens. Ancf that was some time ago! You see, in those days, quills had to be Continually sharpened to retain a fine point and make them write clearly. Thus, the knife was called a penknife. L STEVENSON Why New York Has Skyscrapers , One reason why New York is a city of towering buildings is that of varying depths; for the length of Manhattan island there is a stratum of mica schist, commonly called "bedrock." Without this unyielding base New York would be a city of six-story buildings like London. At midtown the schist in places is but five feet below the surface. In lower Manhattan it has sometimes been necessary to go through 40 feet of quicksand and 25 feet of hard pan (sand and gravel cemented by clay) before reaching bedrock. Why Stanton Was War Secretary Lincoln chose Edwin M. Stanton secretary of war because of the Ohioan's pugnacity as a lawyer. In a case tried in 1855 a trio of lawyers --Lincoln, Stanton and George Harding--were supposed to work together. But Stanton and Harding pushed Lincoln in the background and ignored him. Lincoln, hardly more than a spectator now, listened while the other two fought the case. He was impressed with Stanton's ability, later making the appointment despite the insult. Why Car Lock Is on Right The lock on an automobile door is on the right side instead of on the driver's side as a safety precaution. The right door is nearest to the curb and is the one reached first when the owner leaves his home. When a driver is parking his car it is safer for him to lock the right door near the curb than to stand in the pathway of traffic and lock the left door. Why It Is "Shorter" Catechism The Larger Catechism is "for such as have made some proficiency in the knowledge of the Christian religion," but it is generally too detailed and minute for memorizing and has never received anything like the reception accorded to the Shorter Catechism, which is "for such as are of weaker capacity." r Why It Is Hendon Field Since the Middle ages there has been a parish and town of Hendon in England. The airport which was' established in the vicinity was given the same name. Signed Death Warrant; Executed Ten of the fifty-nine judges who signed the death warrant of Charles I were executed at the restoration in 1660. ' Odd yarns occasionally turn up in the lost and found departments of the city's large hotels. For instance there was the package with a rubber biBd wrapped around it which a t^ddorf-Astoria houseman found while disposing of a pile of rubbish. Opening it, he discovered a pearl rjecklace and several pieces of novelty jewelry. Ke turned in his find and it was promptly restored to its owner, a Junior Leaguer who had been ,a guest at the hotel. While there, she found herself with a very important engagement and without her favorite evening wrap. A wire to her mother brought the wrap in sufficient time. The mother failed to report, however, that she had enclosed the pearls and jewelry in the box and in the daughter's haste, they escaped her eye. The box was thrown out and eventually reached the scrap heap where the houseman found it. In another case, while Waldorf employees were sorting soiled linen before it was sent out for laundering, they came on a beautiful platinum wrist watch, set with diamonds. The watch, valued at $1,200, was of course returned to its owner. How it happened to be tossed into a basket along with soiled linen was not explained. • • r Seemingly a stop for a traffic- light change on the crowded streets of New York,would carry with it no danger of robbery. Recent instances have shown that this is not the case. Over in Brooklyn when a motor car stopped because of a red light, bandits appeared and took the car along with a $7,500 pay roll. Evidently they had kept watch until they were able to time the movements of the car so exactly that they could get possession of it and make a getaway. Most of the other robberies have been minor, so minor that many have not been reported. In the main they were merely pursesnatchings. • • • In some sections of the city, youngsters climb onto- the back of a car when it stops for a light, and at the next stop run around and grab a purse or any valuables lying on the seat beside the driver. They vanish before an alarm can be given. Their victims are almost invariably women. So now many women drive with locked doors and windows shut. Closed windows are rather unhandy for signalling. But they afford protection. • * « Weather always being more or less under discussion, at this point I'll introduce that topic. At the opening of a new mid-town restaurant, William Keighley, Hollywood director, who was on his way to Florida for a vacation, chided friends about the New York climate. During the conversation, a telegram was delivered to him. It read: "Please give permission to shoot bathing scenes in your swimming pool. It's the only heated one in Hollywood and it's freezing out here." Noticing a crowd In front yijit *. ritzy restaurant, I elbowed my way forward filled with the hope that I .might see a couple of bluebloods exchanging socks, something which happens on occasions in this town. But when I finally, after no end of trouble, reached the front rank all I saw was a newspaper photographer making shots of a couple of grinning newlyweds. Walking away hurriedly, my tnind went back to a cafe of the Hotel du la Place in the little town of Montigny-sur-Aube in France years ago. Villages were engaged in a heated war of words and so loud were voices and so violent the gestures it looked like bloodshed at any moment. Suddenly the clamor died down and everybody had a book. Malaria Spreading North by Airplane and Trailer Milwaukee.--Malaria is spreading throughout sections of the United States where it was virtually unknown ten years ago, it was discovered in a survey conducted by Dr. Marcos Fernan-Nunez, professor of "pathology and bacteriology at Marquette university. The number of malaria cases under treatment in the North is at least flye times as great as it was a •decade ago, Dr. Fernan-Nunez reported. lie attributes spread of the disease to four factors: The increase in the number of persons from the North who pass their winters in the South. ft The fad for trailer travel.
