Ladies Marathon Bridge Club in supâ€" (See Update page 10) Recent months have brought plenty of flash and holler to the issue of legal liability in business and the upshot is, if your organization â€" or the one on whose Board of Directors you sitâ€"doesn‘t have Directors and Officers Liability Insurance, you‘d better look into it. Soon. Courts are now placing increasing levels of responsibility for legal problems in the business world directly on the shoulders of the people charged with a company‘s overall directionâ€"setting and decisionâ€" making. The result is that individuals are now successfully suing directors and officers for problems and incidences that they did not, technically, cause. That represents a change from past practice, when appointment to a Board of Directors was, in many cases, an honorary event. Board members used to be insulated from most legal suits brought by disgruntled employees, injured workers, unhappy consumers and outraged suppliers or customers. If a decision was "rubberâ€"stamped" at the Board level, there were few, if any repercussions. Not so today. 125 CROSS AVENUE, _ TRAFALGAR vilLAce _ 844â€"2668 Mon. to Fri. 9:30 a.m.â€"8:30 p.m. _ Saturday 9:30 a.m.â€"5:30 p.m. By Peter Zulautf Peter Zulauft uks Lfmllllï¬lï¬l 84%AKV8|L§22 Royal LePage Real Estate Services Ltd., Broker ,200, restored mcnt call pectac Y prox 1.33 acre Estate completely m Lakeshore Road. For appiontâ€" DINA HAUCK* Recent court awards show a trend towards forcing directors and officers to perform to very high standards of behaviour, providing their insight and expertise at all times, asking tough questions where warranted, and insisting on further study, review or information where an issue might possibly, some day, cause problems for anyone. If they fail to do so, or if there is insufficient documentation to prove that they did, and if a lawsuiit is brought against the company, the officers and directors are likely to be charged, as well as the people directly responsible. Directors and officers are at particular risk if a company goes bankrupt, if a wrongful dismissal suit is brought against it, or if the organization they serve is sued for defaulting on any one of a multitude of provincial and/or federal acts. If they are found to be even partly responsible, their personal assets will be at risk. Even if cleared of all wrongâ€"doing, the defence costs can be prohibitive. Need to know more?
