Hunter and his family, directly and indirectly through their family holding company, Hunco Ltd. ("Hunco") with 49.4 per cent of the voting shares. The purpose of these applications is to transfer the effective control of Maclean-Hunter and indirectly, of the licensee companies controlled by it, to the Direc- tors and senior mianagement of the Maclean-Hunter , group. The effective control will be held through a new company, Maclean-Hunter Holdings Limited ('Holdings'), the: shares of which will be held by subsidiaries of NAaclean-Hunter (Class "A"), the Directors and senior officers, a group of institutional investors (Class "B") anda senior officer of Maclean- Hunter Limited, at present, Mr. Donald G. Campbell, President (Class "C"). It was stated that this share structure assures that the directors and senior officers of the Maclean-Hunter Group will always be in a position to elect a majority of Holdings' Board of Directors and thus to direct the voting its shares in Maclean-Hunter. The Commission notes that the Toronto-Dominion Bank will purchase income debentures and shares of Holdings. Its shares in Holdings will constitute 20 per cent of the "B" shares, representing slightly less than 10 per cent of the equity in that company. The Com- mission notes that shares of Holdings may be ex- changed after one year for shares in Maclean-Hunter. In the event that the Toronto-Dominion Bank fully exercises this option, it will own 4.2 per cent of the voting equity of Maclean-Hunter. In its Decision CRTC 69-320 the Commission expressed its concern about the long-range implications in allowing banks to take equity positions in licensee corporations. The Commission recognized the im- portance of the contribution of banks in financing broadcasting undertakings but was of the opinion that it is preferable that they should offer means of financing other than through equity particpation. This principle has been applied by the Commission in subsequent decisions. In approving the Toronto-Dominion Bank's equity participation in this application, the Commission has taken into account, among other considerations, the fact that Maclean-Hunter is a diversified publicly traded company with interests in publishing, industrial trade shows, computer services, commercial printing, direct mail services and research and is not itself a licensee under the Broadcasting Act. The Commission notes the assurances given to it at the Hearing by the representative of the bank that the bank holds no op- tions other than those set out in the application, that it does not envisage participating in any way in the day- to-day operations or the direction of Maclean-Hunter and that there is no agreement for the bank to have a nominee on the Board of Directors. The Commission approves the intent of this application to maintain control of Maclean-Hunter in its senior management and will therefore expect the senior of- ficers and directors of Maclean-Hunter to assure their continuing control of the licensees controlled by Maclean-Hunter in accordance with the conditions of their licences. The Commission reminds the parties to the transactions involved in this application of the conditions attached to every licence issued whereby any chanige in the effective control of a broadcasting undertaking, direct or indirect, requires the Com- mission's prior approval.
