No reduction, however, shall be made in any: existing fares unless by consent of the parties hereto or order of the Board, and not more than one unâ€" iform fare shall at any time be charged upon the street railways for any one continuous journey between any point within the ~resent limits of the Town and that portion of the Township which mav be assessed for the street railways and any other point in such area, provided that with the consent of the Corporation in which any extension or addition to the existing street rair way is made an extra fare on such exâ€" tension or addition may be charged. Where cars are through routed over the street railways and _ any other street railway operated by the Comâ€" mission other thanmthat in the City of Toronto, the Commission shall deterâ€" mine the proportions of revenue, and pair and operation and is to be added thereto and retained by the Commission for its own use. 30. In connection with the matters dealt with by the next preceding parâ€" agraph, the system of accounting to be used, except where inconsistent with the expréess provisions hereof, shall be the classification | of account§' for use (£) of electric railways prescribed by the interstate Commerce Commission of the United States, dated July 1st, 1914, and any future revisions thereof. ," 31. The Commission shall, after providing for the, maintenance, repair and operation as above defined, of the street railways and such maintenance and renewal reserves as it shall think necessary, pay any surplus revenue in its hands to the respective Treasurers of the Corporations in the proportion provided for by paragraph (36) hereâ€" of, to be placed by them in special street railway accounts for the nayâ€" ment from time to time of the debt charges incurred _ in respect of the street railways. 32. Any payments to be made ‘by the Commission under the next precedâ€" ing paragraph shall be made forthwith after each quarter of the calendar year and are intended to be approximate only and shall be subject to adjustment by the Commission after the annual audit and report hereinafter provided audit for. esn uonle 33.‘ In consideration of the covenâ€" ants and agreements entered into hereâ€" in by the Corporations, the Commisâ€" sion, for the purpoases of Paragraph (31) hereof only, agrees that the cost of paving the track allowance as deâ€" fined in Paragraph (21) hereof with a type of pavement to be agreed upon by the parties hereto and according to plans and specifications furnished by the Commission, may be included in the debt charges referred to in such paragraph, nrovided that all such costs shall be kept in a separate account from the costs of track structure and overhead. j 34. â€" After the close of each calenâ€" dar year the Commission will prepare a report to the Corporations giving a complete certified financial statement of its operation of the street railways during the preceding year, and any of such statements shall be, if either the Town or Township so desires, subject to audit by one independent auditor to be N Meanlcs agreed on by the parlies Or app s o_ by the Board. 35. The Commission will, upon reâ€" quest, furnish the Town or Township with a statement of the revenue pasâ€" sengers carried and the car miles opâ€" erated for any calendar month on the street railways and. or . the portion thereof within the limits of the Cor poration making such request. : 36. The revenues of the street railâ€" ways shall be apportioned as betweenr the Town and the Township for each ‘Calendar year or portion thereof on the following basis: (a) If the cost of maintenance, repair and operation of the street Tailâ€" ways as defined in paragraph (29) hereof shall exceed the gross reâ€" venues for any such period, the ‘ consequent deficit on operation shall be borne by each municipalâ€" ity in proportion to the car miles operated during such period withâ€" in its limits. & ‘(b) Should the gross revenues exceed (b) Should the gross revenues exceed | such cost of maintenance, repalr‘ and, operation, then any resulting surplus is to be divided between. the two municipalities in proporâ€" tion to the capital investment of each in the street railways. 37. If for any reason the revenue from the street railways for a period of three consecutive calendar months shall be insufficient to meet the full costs for such period. of the maintenâ€" ance, repair and operation thereof as defined in paragraph (29) hereof, the Corporations ‘shall pay to the Comâ€" mission forthwith on demand the amount of any such deficiency in the proportions set out in the next precedâ€" ing paragraph. Provided that in the event of the neglect of either of such Corporations to pay their proper proâ€" portion of such amount within thirty (30) days of such demand, the Comâ€" mission may, without further notice, discontinue the operation of the said street railways and it and the other party hereto may recover from the Corporation in default any damage sustained by reason of such default, but such discontinuance of operation ‘shall not release any party from this ‘agreement. And provided further that the Corporation not in default, without management in . connection with such operation is to be estimated at seven per cent. of all other items of ‘cost of maintenance, reâ€" each calenâ€" l prejudice to its . rights under this agreement, may at its option pay the amount in default by the other Cor | poration and shall have the right‘ to recover ‘the amount of such payment from such Corporation in default. | 38. At the termination of this agreement the Corporations,; . if ‘the Commission so Gdesires, shall purchase from the Commission, and the Comâ€" mission, if the the Corporations‘ or either of them so desire, shall sell any rolling .stock â€"or. other material and equipment which the parties may agréé or the Board may decide were used or acquired for service upon the street railways, at the value shown upon the books of the Commission, less depreâ€" ciation at the rates: allowed by the Commission for such item$ of property. In case the Commorations cannot agree between themselves as to the, mannet of carrying out the said purchase, their respective rights shall be determined by the Board. Alited L 44. The Commission _ shall not in any way be liable, by reason of any error or omission in any reports, ۤ: timates, plans or. specifications, made for the Town or Township prior to the entering upon. of this agreement, or made thereafter in pursuance thereof, or otherwise. 45. The Township shall not be li= able for the acts or defaults of the Town under this agreement and the Town shall not be liable.for the acts or defaults of the Township under this agreement but each Corporation shall only be liable for its own acts or ‘deâ€" faults and every covenant and agreeâ€" ment on the part of the Corporations herein contained shall be construed acâ€" cordingly.
